Unless expressly stated otherwise, prices may exclude applicable taxes, transportation, installation, inspection, testing, duties or other charges.
Any applicable government tax, inspection fee, testing fee or other charge relating to the transaction shall be payable by the Buyer.
Payment shall be made in accordance with the payment terms agreed between EssEmm Corporation and the Buyer.
Interest will be charged at 24% per annum on accounts more than 30 calendar days past due, as applicable under the agreed Terms of Sale.
If the Buyer fails to make payments as agreed, EssEmm Corporation may, subject to applicable law:
Defer or suspend further shipments;
Cancel the unshipped portion of any order; and/or
Recover applicable incurred costs and reasonable profit.
All delivery dates are approximate unless expressly agreed otherwise in writing.
EssEmm Corporation reserves the right to make delivery in instalments unless otherwise stipulated.
Each instalment may be invoiced upon shipment and shall be paid according to the applicable invoice terms.
Delay in delivery of any instalment shall not automatically relieve the Buyer from its obligation to accept subsequent deliveries.
In case of delay by the Buyer from the agreed pickup date, applicable warehousing charges may be levied.
Delivery of products to the carrier shall constitute delivery to the Buyer, unless otherwise agreed in writing.
The Buyer shall bear the risk of loss or damage during transit. Claims relating to loss or damage during transit should be made with the concerned carrier.
All claims relating to shortages, delivery errors or discrepancies must be made in writing to EssEmm Corporationwithin 3 calendar days from receipt of the shipment.
Failure to provide such notice within the specified period may constitute acceptance of the shipment and waiver of such claims, subject to applicable law.
Goods once sold cannot be taken back or exchanged.
Any cancellation or alteration of an order requires prior written approval from EssEmm Corporation and may be subject to applicable costs and conditions.
Products supplied by EssEmm Corporation are covered by a 12-month warranty from the date of invoice, subject to the service area and availability, against manufacturing defects only.
The warranty does not cover:
Plastic and rubber components
Blades
Gaskets
Belts
Bulbs
Stones
Display meters
Normal wear and tear
User-related defects
Defects due to improper installation
Scaling
Insect bites
Electrical malfunction
The warranty applies only to manufacturing defects and is subject to the applicable warranty terms of EssEmm Corporation.
Technician visits shall be chargeable. Applicable service, labour, transportation or other charges shall be payable by the Buyer.
Any parts repaired or replaced under warranty shall be warranted only for the balance of the original warranty period, unless otherwise specified in writing.
Where products require installation, the Buyer shall make all necessary arrangements at its own expense unless installation is specifically included within EssEmm Corporation’s agreed scope.
The Buyer shall install and operate the products in accordance with EssEmm Corporation’s instructions and applicable operating manuals.
EssEmm Corporation shall not be responsible for labour or work performed by the Buyer or third parties unless expressly agreed in writing.
The Buyer is responsible for providing and ensuring the use of appropriate safety devices, guards and safe operating procedures by its employees, operators and customers.
The Buyer shall ensure that operators consult the applicable operating manuals and comply with relevant safety standards, regulations and applicable labour and welfare requirements.

Acts of terrorism
Riots
Transportation delays
Inability to obtain necessary labour, materials or manufacturing facilities
In such circumstances, the delivery period shall be extended for a period corresponding to the time lost due to the delay.
